1. Agreement to Terms

Welcome to echome (the "App"). By accessing or using our App, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the App.

2. Acceptance of Terms

These Terms constitute a legally binding agreement between you and echome ("we," "us," or "our"), the provider of the App. By accessing or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms.

3. Description of Service

echome allows users to create videos from text and optionally post these videos directly to third-party platforms such as YouTube and TikTok, subject to these Terms and the terms and conditions of those third-party platforms. The App may also offer subscription-based access to certain features or functionalities.

4. User Accounts

• To use certain features of the App, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
• You are solely responsible for any content you create and post using the App.

5. Third-Party Integrations

• Our App allows you to connect with and post content to third-party platforms, including but not limited to YouTube and TikTok (the"Third-Party Platforms").
• By using these integration features, you acknowledge and agree that your use of the Third-Party Platforms is subject to their respective terms of service, privacy policies, and any other guidelines or rules they may have.
• We are not responsible for the availability, accuracy, content, or any other aspect of the Third-Party Platforms.
• You are solely responsible for ensuring that your content complies with the terms and conditions of the Third-Party Platforms before posting.
• We may, at any time and in our sole discretion, modify or terminate our integrations with any Third-Party Platform.

6. Payments and Subscriptions

• The App may offer subscription plans for access to certain features or functionalities. The fees for these subscriptions will be clearly displayed within the App.
• By subscribing to a plan, you agree to pay the applicable fees at the then-current rates.
• Subscription fees will be billed on a recurring basis (e.g., monthly or annually) according to the subscription plan you select.
• You authorize us to charge your chosen payment method for the subscription fees.
• Subscriptions will automatically renew at the end of each billing cycle unless you cancel your subscription before the renewal date.
• You can manage and cancel your subscription through your account settings within the App.
• We may change our subscription fees or plans at any time, with prior notice to you.
• All payments are non-refundable, except as expressly stated in our refund policy (if any) or as required by applicable law.

7. User-Generated Content

• You retain ownership of the videos you create using the App ("User Content").
• By using the App, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display your User Content solely for the purpose of operating and providing the App's services to you.
• You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that your User Content does not infringe upon the rights of any third party.

8. Intellectual Property

The App and its original content, features, and functionality (excluding User Content) are and will remain the exclusive property of echomeand its licensors. The App is protected by copyright, trademark, and other laws of both India and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

9. Prohibited Conduct

You agree not to use the App for any unlawful purpose or in any way that could harm, disrupt, or impair the App or our services. Prohibited conduct includes, but is not limited to:

• Posting content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
• Infringing upon the intellectual property rights of others.
• Impersonating any person or entity or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
• Transmitting any viruses, worms, or other malicious code.
• Attempting to gain unauthorized access to the App or our systems.
• Using the App in violation of these Terms or any applicable laws or regulations.

10. Termination

• We may terminate or suspend your access to the App at any time, with or without cause, and without prior notice or liability.
• You may terminate your account at any time by following the instructions within the App.
• Upon termination, your right to use the App will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Disclaimers

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE CONTENT PROVIDED THROUGH THE APP OR THE CONTENT POSTED TO THIRD-PARTY PLATFORMS.

YOU ACKNOWLEDGE THAT YOUR USE OF THE APP AND ANY THIRD-PARTY PLATFORMS IS AT YOUR SOLE RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL echome, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless echomeand its affiliates, directors, officers, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or access to the App; (b) your violation of these Terms; (c) your User Content; or (d) your infringement of any third-party rights.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or relating to these Terms or the App shall be instituted exclusively in the courts of [Your City, State/Country]. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

15. Changes to These Terms

We reserve the right to modify or revise these Terms at any time by posting the updated Terms on the App. Your continued use of the App after the posting of any changes constitutes your acceptance of such changes. We encourage you to review these Terms periodically for any updates or modifications.
